Job Summary

Kenya Railways (KR) is a state corporation created under The Kenya Railway Act (Cap 397) of the Laws of Kenya with the core mandate of providing an efficient and effective railway transport.

For appointment to this grade, an officer must have:-
  1. Master’s degree in a relevant field from a reputable institution
  2. Bachelor’s degree in Law or equivalent degree from a reputable institution
  3. Post graduate diploma in Law from the Kenya School of Law or such similar qualification from a reputable institution
  4. An advocate of the High Court of Kenya and a member of the Law Society of Kenya
  5. Working experience of not less than eight years (8), two (2) of which must have been at Principal Legal Officer level in the Corporation or in a comparable position in the Public service or in other reputable organization
  6. Certified Public Secretary in good standing.
  7. Attended a management course lasting not less than four (4) weeks
  8. Certificate in Computer application’
  9. Meets the requirements of Chapter Six of the Constitution
  10. Demonstrated competence in work performance.

Duties and Responsibilities

The Assistant Manager Board Services will report to the General Manger Legal Services and Corporation Secretary for the following duties and responsibilities:
  1. Coordinating Board matters by preparing and dispatching Board Agendas, Board papers, board minutes and board action reports;
  2. Preparing and managing the Board annual work plans;
  3. Preparing of Board Minutes, ensuring that they are confirmed and filed;
  4. Communicating decisions of the Board to the Managing Director for appropriate action;
  5. Monitoring implementation of Board decisions and preparing reports to the Board;
  6. Custody of the Corporation seal and sealed legal documents;
  7. Preparing reports on use of the Corporation Seal;
  8. Coordinating induction and continuous development of Directors;
  9. Coordinating Governance Audits and preparing reports required by the State Corporations Advisory Committee (SCAC);
  10. Coordinating evaluation of the performance of the Board and preparing report to SCAC;
  11. Prepare the Board Calendar and disseminate to Management staff;
  12. Follow up with Management staff to ensure all Board papers are ready and disseminated on time;
  13. Collate and analyze data related to Board Members and Board activities;
  14. Follow up on compliance with Mwongozo Guidelines on Board affairs.
  15. Preparing and monitoring of the Division’s budgets and expenditures;
  16. Implementing and benchmarking best practices in Board matters;
  17. Implementing change initiatives to achieve desired business plans and culture.

Kenya Railways was established by an Act of Parliament (Cap 397) of the Laws of Kenya, and commenced operations on January 20, 1978. The overall mandate of the Corporation then was to provide a coordinated and integrated system within Kenya of rail and inland waterways transport services and inland port facilities. The Act was amended through The Kenya Railways (Amendment) Act 2005 to make it possible for the Board of Directors to enter into concession agreements or other forms of management for the provision of rail transport services. Following this Amendment, KR conceded railway operations to Rift Valley Railways Ltd (K) from November 1, 2006 for 25 years for freight services and 1 year for passenger services.
